Vodafone India is part of the Vodafone Group. It was established in 1994 by its predecessor Hutchison Telecom, which acquired the Mumbai cellular license. It has over 153 million customers and operates across the country. Vodafone India is the largest subscriber base worldwide and has established itself as a strong member of the Vodafone Group. This is a testament to Vodafone’s success within a highly competitive market that is price sensitive.

The company was awarded the “Best Modern Retailer” award at the India Retail Forum 2012. It was in the telecom and mobile category.

Vodafone India has been named as the best employer of choice in the telecom sector by Great Places to Work. In a second survey by Nielsen, Vodafone India was the only telecom company in the Top 10 “Most Exciting Youth Brands” in India. Vodafone Business Services was also awarded the Telecom Awards Value Services -Rural Innovation category. This award was given to the company for its Low Balance Service. Vodafone Business Services was named the Frost & Sullivan Awards’ “Best Enterprise Service Provider”. The company also received the CMG Enterprise & IT Infrastructure Global Excellence Award in technology for its Business Intelligence transformation project.

Idea limited

On March 14, 1995, Birla Communications Limited was formed and a certificate of incorporation was issued on August 11, 1995. Our registered office was located in Mumbai, Maharashtra. After the execution of a joint venture arrangement dated December 5, 1995, between AT&T Corporation Limited and Grasim Industries Limited, our name was changed to Birla AT&T Communication Limited on May 30, 1996. The Aditya Birla Group-owned 51% of our Equity share capital while AWS Group controlled 49%. Our registered office was moved from Industry House, 1st Floor at 159 Church Gate Reclamation in Mumbai 400 020, Maharashtra, to Suman Tower. 18, Sector 11, Gandhinagar 382011 Gujarat on October 22, 1996. The joint venture agreement between AT&T Corporation (Grasim Industries) and Tata Cellular Limited became effective on January 1, 2001, following our merger with Avec Tata Cellular Limited.


Limited dated December 5, 1995, was repealed by a shareholders’ agreement dated December 15, 2000, between Grasim Industries Limited for the Aditya Birla Group and Tata Industries Limited for the Tata Group. AT&T Wireless Services Inc. was signed on behalf of the AWS Group. Our name was then changed to Birla Tata AT&T Limited on November 6, 2001. Following the introduction of the “Idea” brand, our name was changed to Birla Tata AT&T Limited on November 6, 2001. Our name was changed to Idea Cellular Limited in May 2002, following the introduction of the? Idea? brand. On September 28, 2005, the AWS Group sold 371,780.740 Equity Shares, representing 50% of AT&T Cellular Private Limited’s equity share capital to ABNL, and transferred the remaining 371,780.750 Equity Shares, to Tata Industries Limited.


On June 20, 2006, the Tata Group was no longer a shareholder in the Company. Tata Industries Limited (formerly AT&T Cellular Private Limited), and Apex Investments(Mauritius) Holding Private Limited (previously known as Apex Investments) Holding Private Limited) sold all of their shares to the Aditya Birla Group.

P5 Asia Investments Limited (Mauritius), October 26, 2006 (?P5 Asia?) P5 Asia Investments (Mauritius) Limited (?P5 Asia?) acquired 14.60% equity share capital. P5 Asia, ABNL, and BirlaTMT have signed a Governance and Extension Rights Agreement dated October 23rd, 2006. As long as no initial public offering has taken place and P5 Asia does not hold less than 10% of our Equity shares, ABNL, and BirlaTMT are required to obtain P5 Asia’s consent. This agreement states that ABNL, Birla TMT, and P5 Asia agree to not assume or permit to exist any borrowings or indebtedness of any nature. If the total of such borrowings, our Company, and its subsidiaries, would be more than Rs. 6,800 million. (iii. Entering into a new business line. (v.) Increasing our authorized or issued share capital. (b) Our Company provides P5 Asia financial information, including monthly management accounts, quarterly unconsolidated balance sheets, and profit & loss accounts, and annual audited consolidated balance sheets and profit & loss accounts.

P5 Asia has the right to appoint one Director to our Board, provided it holds at least 10% equity shares. P5 Asia has appointed Mr. BiswajitSubramanian to our Board pursuant to the exercise of the above rights. P5 Asia must also consent to any IPO of Equity Shares. In any such IPO, P5 Asia can offer for sale Equity Shares up to 10% of its total Equity Shares. P5 Asia, in its December 2, 2006 letters to ABNL & Birla TMT has consented to the Issue and confirmed that it will not offer for sale any Equity Shares it holds in the Issue.

We provide mobile services either directly or through our Subsidiaries in Andhra Pradesh and Haryana, Gujarat, Haryana and Kerala, Madhya Pradesh, and Maharashtra Circles. Our services were recently launched and we are currently rolling out our network in the Uttar Pradesh Circles (East), Rajasthan Circles, and Himachal Pradesh Circles in accordance with licenses issued to us by the DoT.

Idea Cellular Ltd., India’s third largest wireless operator in terms of subscribers, has a Revenue Market share of 15.9% in the Indian mobile telecommunications industry as of Q3 December 2017. Idea Cellular, a pan-Indian integrated wireless broadband operator, offers 2G, 3G, and 4G services. It also has its own National Long Distance and International Long Distance operations as well as an Internet service provider license. With over 200 million subscribers, Idea Cellular ranks sixth in the global operator rankings in terms of subscriber terms for single-country operations. The company provides mobile services that are affordable and of high quality to a variety of users. Aditya Birla Group Company. They offer basic voice and SMS services, as well as high-end packet radio services (GPRS), such as Blackberry Datacard Mobile TV or Games. Swinder Singh Satara & Co Ltd Aditya Birla Telecom Ltd Idea Cellular Services Ltd Idea Cellular Infrastructure Services Ltd Idea Cellular Towers Infrastructure Ltd, and Carlos Towers Ltd.

In 2002, Idea Cellular Ltd was established. They began commercial operations in the Delhi circle. Through a share purchase agreement, they purchased Swinder Singh Satara & Company Ltd on June 3, 2002.

The company purchased Escotel Mobile Communications Ltd in 2004 (later renamed Idea Mobile Communications Limited). They launched EDGE services in 2005, becoming the first Indian operator to do so. They sponsored the International Indian Film Academy Awards. The company was made a part of the Aditya Birla Group in 2006, following the TATA Group’s transfer of their entire shareholding to the Aditya Birla Group. They were issued a Letter of Intent by the DoT to obtain a new UAS License in Mumbai Circle. They also received a Letter of Intent for a new UAS License to the Mumbai Circle from the DoT through Aditya Birla Telecom Ltd. In June 2006 Escorts Telecommunications Ltd was established as a subsidiary and later renamed Idea Telecommunications Ltd. They purchased 10000000 equity shares worth Rs.10 each from Aditya Birla Telecom Ltd, a company that holds a license to operate in the telecom area of Bihar. The purchase price was Rs 100 million.

The company grew its network from 4432 towns and cities to 13308 towns and cities during 2007-08. Three new subsidiaries were formed: Idea Cellular Services Ltd Idea Cellular Infrastructure Services Ltd & Idea Cellular Tower Infrastructure Ltd. Idea Cellular Services Ltd, Idea Cellular Infrastructure Services Ltd, and Idea Cellular Tower Infrastructure Ltd were formed. The company was granted the Unified Access Services Licences in February 2008 for telecom service areas in Punjab Karnataka Tamilnadu, including Chennai North East West Bengal Kolkatta Jammu & Kashmir Orissa & Assam. They also launched services in Mumbai Orissa Tamil Nadu, Jammu & Kashmir Kolkata, and West Bengal. Aditya Birla Telecom Ltd, a wholly-owned subsidiary, launched services in Mumbai Orissa Tamil Nadu (including Chennai), Jammu & Kashmir Kolkata, and West Bengal. In association with Nokia, they were the first Indian operator to launch Nokia Life Tools. They were the first Indian operator to launch Nokia Life Tools in association with Nokia.

The company merged its passive infrastructure assets in Andhra Pradesh Delhi Gujarat Uttar Pradesh, Haryana Kerala Rajasthan, and Mumbai to Idea Cellular Towers Infrastructure Ltd. This subsidiary was established on a January 1, 2009, appointment. It is now a pan-India service provider. The company’s latest VAS activity was ‘Buddy Recharge’, a peer-to-peer time transfer product. Oongli Cricket was also launched by the company during the IPL season. On 16 March 2016, Idea Cellular and Videocon Telecommunications Limited agreed to end their previous agreement on the Transfer of the Right To Use 1800 MHz Spectrum. This took effect immediately. On 24 November 2015, the Board of Directors of Idea authorized the company to enter into an agreement for the right to use the 1800MHz spectrum of Videocon Telecommunications Limited in the telecom service area of Gujarat and U.P. (West) for an approximate consideration of Rs 3310 million (approx. According to the DoT Guidelines on Trading of Access Spectrum By Access Service Providers dated December 12, 2015, the Board of Directors of Idea Cellular decided to merge its business of providing tower services through approximately 7997 towers it owns and operates in India (Tower Infrastructure Undertaking), with its wholly-owned subsidiary Idea Cellular Infrastructure Services Limited. (ICISL) is involved in providing tower infrastructure services in Orissa and Bihar. A business transfer agreement between Idea Cellular (ICISL) will be signed to implement the transaction. In consideration of the tower infrastructure undertaking, ICISL will issue approximately 10000 shares of equity to Idea Cellular.

The tower infrastructure undertaking will be transferred to ICISL in 3 to 6 months, subject to obtaining the necessary regulatory approvals. Idea Cellular has launched three new entertainment apps, Idea Music Lounge Idea Movie Club, and Idea Game Spark. This new suite of digital apps offers a wide range of entertainment content to its almost 200 million customers. Idea Music Lounge Idea Movie Club and Idea Game Spark have made the company a more integrated mobile operator. They also announced on 20 March 2017 that Idea Cellular and Vodafone Group Plc had reached an agreement to merge their Indian operations (excluding Vodafone’s 42% share in Indus Towers). With almost 400 million subscribers, the combined company will be India’s largest communications provider with a 35% customer market share of 41% revenue share. The combined company’s brand strategy will be created in due course. It will capitalize on customers’ love for both brands, which has been built over the past decade.

In due course, the name of the combined company will change. The combined company will have enough spectrum to be competitive with other major operators in this market. It would have 1850 MHz, including approximately 1645 MHz of spectrum that was acquired via auctions. It will have the ability to build substantial mobile data capacity using the largest broadband spectrum portfolio, which includes 34 3G and 129 4G operators across the country. Vodafone India’s strong presence within metro areas and Idea’s leadership position in rural and semi-urban telecom markets will enable it to lead the country in Indian M&A guidelines. Idea Cellular and Vodafone India have limited presence in certain areas. The combined entity will be the dominant challenger and provide greater consumer choice. Idea Cellular also announced the completion of the pan-India 4G rollout, with the launch of 4G services for Mumbai using the 2100 MHz spectrum band. Idea Cellular announced on 24 July 2017 that the Competition Commission of India had approved the merger of Vodafone India Vodafone Mobile Services Limited (Idea Cellular) and Idea Cellular. This was in accordance with sub-section (1) of section 31, of the Act. It is expected that the transaction will close in the calendar year 2018, subject to any customary approvals. With 50% of its network dedicated to mobile broadband, Idea Cellular has become India’s largest 4G network.

Over the 12 months ending in August 2017, Idea has added more than 50000 broadband sites, bringing its broadband footprint to nearly 5888 census towns and 105755 villages. This reaches 45% of the country’s population. To strengthen its wireless broadband services, it has established an optical fiber network with approximately 150000 km. Idea Cellular India and Vodafone India announced on 13 November 2017 that they had agreed to separately sell their respective telecom tower businesses in India, to ATC Telecom Infrastructure Private Limited, a majority-owned subsidiary of American Tower Corporation.

The combined enterprise value was Rs 7850 crore (USD1.2 billion). Idea Cellular India and Vodafone India have separate telecom tower businesses that cover India. They own approximately 20000 towers, with a combined tenancy rate of 1.65x on 30 June 2017. Idea Cellular announced on 12 January 2018 that the National Company Law Tribunal Bench in Ahmedabad, vide its order dated 11.01.2018, had approved the Composite Scheme of Amalgamation & Arrangement between Vodafone Mobile Services Limited and Vodafone India Limited as well as Idea Cellular and their respective creditors and shareholders. Idea Cellular distributed 32.66 million equity shares to promoter Aditya Birla Group entities on 12 February 2018.

The issue price was Rs 99.50 per share, aggregating to Rs 33250 crore. The promoter group’s shareholding in Idea has increased to 42.4% and 47.2% as a result. Idea Cellular also announced that it had successfully closed its qualified institutional placement. The company issued 42.42 million equity shares with face values of Rs 10 each to qualified institutional buyers. This issue price was Rs 82.50, aggregating to around Rs 3500 crore. Idea’s the promoter/promoter team has infused Rs 3250 crore to reduce its net debt by a combined equity raise of Rs 3500crore and the recent infusion of Rs 6750 Crore.
